Membership Terms of Service

These Membership Terms of Service (“Terms”) are between PrototypeSF, LLC, a California limited liability company, doing business as Vivarium (“Vivarium,” “we,” “us”), and you, the individual or entity holding a Vivarium membership (“you,” “member”).

By signing up for a membership, paying a membership fee, or accessing the space, you accept these Terms. If you do not agree to these Terms, do not use the space.

1. What Your Membership Is

Your membership is a revocable, non-exclusive license to access and use the shared coworking portions of the facility at 222 Dore Street, San Francisco, CA 94103 (the “Premises”) for non-residential coworking and creative work purposes.

Your membership is not a lease. It does not give you tenancy, exclusive possession, an office, storage, any real property interest, or any right to exclude others from any part of the Premises.

2. Membership Plans

Vivarium offers Part-Time and Full-Time memberships. Your plan, monthly fee, and billing date are the ones you selected or were quoted when you signed up, as confirmed by Vivarium in writing (including by email).

You are responsible for keeping your contact, billing, and emergency contact information current.

3. Recurring Monthly Billing

YOUR MEMBERSHIP CONTINUES MONTH-TO-MONTH UNTIL CANCELED. YOU AUTHORIZE RECURRING MONTHLY CHARGES UNTIL CANCELLATION.

The membership fee is due in advance on your billing date. If no billing date was set, your billing date is the same calendar day of each month as the date your membership started. If that day does not exist in a given month, payment is due on the last day of that month.

Your first membership fee is due on the date your membership starts. Amounts unpaid more than ten (10) days after the due date may incur a late fee of five percent (5%) of the overdue amount.

Vivarium may update pricing for future billing periods with thirty (30) days’ written notice.

4. Cancellation and Termination

Your membership is month-to-month.

You may cancel by emailing mail@prototypesf.org. Cancellation is effective thirty (30) days after Vivarium receives your written cancellation notice, unless Vivarium agrees to an earlier date in writing.

Vivarium may suspend your access or terminate your membership on written notice if you fail to pay amounts when due, violate these Terms or the House Rules, create a safety, security, legal, code, insurance, or operational risk, or if Vivarium closes the Premises or discontinues coworking operations.

Upon termination, your access ends, you must remove all of your property, and all outstanding amounts become immediately due.

5. Access Hours

You may access the Premises between 8:00 AM and 2:00 AM, seven days per week, unless Vivarium approves otherwise in writing.

If you have a Part-Time membership, your key card will not grant access to the Premises on more than two days in each week. Each day starts at 8:00 AM and ends at 2:00 AM. Each week starts at 8:00 AM on Sunday and ends at 2:00 AM on the following Sunday.

No access is permitted between 2:00 AM and 8:00 AM without Vivarium’s prior written approval. No overnight stays, sleeping, lodging, dwelling, or residential use are permitted.

Vivarium may temporarily restrict access for maintenance, repairs, events, safety, security, code compliance, legal requirements, or operational needs.

6. Use of the Premises

You may use shared coworking areas only for lawful commercial, creative, or coworking purposes.

You may not use the Premises as a residence, mailing address, registered agent address, government ID address, voter registration address, tax residence, package-delivery address, or public business address without Vivarium’s prior written approval.

You may not modify, rewire, alter, move, damage, obstruct, or interfere with the Premises, building systems, furniture, equipment, utilities, access systems, or event operations.

You may not conduct hazardous, disruptive, regulated, permit-triggering, or insurance-sensitive activities without Vivarium’s prior written approval.

7. No Office, Assignment, or Access Business

Your membership does not include an office, private room, assigned desk, reserved area, dedicated storage, or exclusive use of any space unless Vivarium separately agrees in writing.

You may not assign, transfer, sublicense, rent, share, resell, or grant your access rights to any third party.

You may not use the Premises, guest privileges, keys, or access credentials to operate a coworking space, desk-rental business, studio-rental business, event business, or access-for-fee arrangement.

8. Guests

You may have one (1) guest at a time unless Vivarium gives prior written approval for additional guests.

Guests are permitted only while you are physically present. Guests must remain in shared coworking areas and may not use the Premises as independent coworking users.

The same guest may not attend three (3) or more days in any Sunday–Saturday period without Vivarium’s written approval.

You are responsible for all guest conduct. Guest violations are treated as your violations. Vivarium may restrict or revoke guest access at any time for safety, disruption, excessive use, occupancy, security, insurance, code, or operational concerns.

9. Events and Common Areas

The Premises is a multi-use creative warehouse. Vivarium may host or permit events, productions, rentals, rehearsals, filming, gatherings, vendors, technicians, and other activities.

Common areas may be closed, moved, reconfigured, reserved, noisy, crowded, or otherwise affected by operations or events. No refund, credit, or fee reduction applies because of events, noise, reconfiguration, temporary closures, furniture movement, vendors, or production activity, except as required by law.

10. House Rules, Safety, and Animals

You must comply with all House Rules, posted rules, safety instructions, access policies, equipment policies, and operational guidelines. The current House Rules are attached as the Appendix to these Terms. Vivarium may update the House Rules at any time by written notice, email, posting, or ordinary member communication channels, and the updated House Rules apply without any change to these Terms.

You may not copy, share, lend, transfer, disclose, or misuse any key, fob, code, badge, or access credential. You must immediately report lost, stolen, or compromised credentials.

Pets and animals are not permitted except with Vivarium’s written approval or as required by applicable law.

11. Your Property

“Member Property” means all property brought into or left at the Premises by you or your guests.

You are solely responsible for Member Property. Vivarium does not monitor, inventory, secure, store, safeguard, or insure Member Property. No bailment, custody, warehouse, storage, or safekeeping relationship is created.

To the fullest extent permitted by law, you assume all risk of loss of or damage to Member Property, including theft, vandalism, fire, smoke, water, sprinkler discharge, power interruption, HVAC issues, acts of nature, other members, guests, vendors, contractors, public authorities, or third parties.

Property left unattended, left after termination, or left in violation of these Terms may be removed, stored, or disposed of in accordance with applicable law. Hazardous, illegal, unsafe, perishable, unsanitary, or obstructive items may be removed immediately.

12. Assumption of Risk, Waiver, and Release of Liability

You will defend, indemnify, and hold harmless Vivarium and its owners, managers, members, officers, directors, employees, contractors, agents, affiliates, landlords, successors, and assigns from claims, losses, damages, liabilities, costs, and attorneys’ fees arising from your use of the Premises, Member Property, your breach of these Terms, your violation of law, or the acts or omissions of you or your guests, except to the extent caused by Vivarium’s gross negligence, willful misconduct, fraud, violation of law, or liability that cannot be shifted under applicable law.

14. Changes to These Terms

Vivarium may update these Terms from time to time. We will provide notice of material changes by email, posting, or ordinary member communication channels. Changes apply to future billing periods. Your continued membership or use of the Premises after notice constitutes acceptance of the updated Terms. If you do not agree to updated Terms, your remedy is to cancel your membership under Section 4.

15. Miscellaneous

These Terms, any written addenda confirmed by Vivarium, and the House Rules are the entire agreement between you and Vivarium regarding coworking access.

Changes, discounts, fee adjustments, special terms, or financial commitments are binding only if confirmed in writing by Vivarium.

You may not represent yourself as Vivarium, PrototypeSF, building management, or Vivarium’s agent, and may not bind Vivarium to any agreement.

If any provision is invalid or unenforceable, the rest of these Terms remain enforceable. Failure to enforce a provision is not a waiver.

These Terms are governed by California law. Venue lies in San Francisco County, California, unless applicable law requires otherwise.

Acceptance of these Terms may be recorded electronically (including by checkbox, click-through, or email confirmation), and that record has the same effect as a signature.

Appendix: House Rules

Vivarium may update these House Rules from time to time as described in Section 10.

Member Policies

• Use the Premises only for lawful commercial, creative, or coworking purposes.
• Comply with all posted rules, policies, and operational guidelines.
• Maintain respectful conduct toward others.
• Keep shared areas clean and unobstructed. Clean up food waste promptly after use. Don’t leave works-in-progress out overnight.
  • Unattended items left out overnight will be removed and placed in the lost and found area at 1:00 PM.
• Avoid hazardous, unsafe, or disruptive activities.
• Members should not be impaired to the point of disrupting others or creating safety concerns.
• Refrain from modifying, rewiring, or altering building infrastructure.
• Members or guests may stay overnight only with prior explicit written approval.
• Members may not share their keys or access credentials with others or prop doors open.
• Quiet hours after 2:00 AM.
• When smoking outside the building, dispose of cigarette butts in the ashtray provided.
• When taking photographs or filming, do not include the faces of any member without their individual consent.

Guest Policies

• Members are responsible for the conduct of their guests. Guest violations are treated as member violations.
• Guests are permitted only while the member is physically present on-site.
• Guests must remain in shared coworking areas.
• Members are allowed a maximum of one (1) guest at a time unless explicit written permission for additional guests is received.
• The same guest may not attend three (3) or more days in any Sunday–Saturday period.
